By accessing or using FuseIQ (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Platform. These Terms constitute a legally binding agreement between you (“User”, “You”) and Abbasi Global Ltd (“FuseIQ”, “We”, “Us”).
FuseIQ provides an AI agent orchestration platform that enables teams to deploy, monitor, and manage AI agents. The Platform includes dashboard analytics, cost tracking, approval workflows, and multi-agent swarm coordination. Features, pricing, and availability may change from time to time upon notice to Users.
To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.
Certain features of the Platform require payment of fees. Fees are billed in advance on a monthly or annual basis as selected during registration. You authorize us to charge your selected payment method on the agreed schedule. All fees are non-refundable except as required by law or as explicitly stated in these Terms. Late payments may result in suspension of access after 30 days’ notice.
You agree not to use the Platform for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Platform. You may not attempt to gain unauthorized access to any part of the Platform. You shall not: (a) use the Platform to generate harmful, deceptive, or illegal content; (b) reverse-engineer, decompile, or disassemble the Platform; (c) interfere with other users’ access; (d) use the Platform to train competing AI models; or (e) upload or transmit malware, viruses, or any code of a destructive nature.
To the maximum extent permitted by applicable law, in no event shall FuseIQ’s total aggregate liability arising out of or relating to these Terms or the Platform exceed the greater of £100 (GBP) or the total fees paid by you to FuseIQ in the twelve (12) months preceding the event giving rise to liability. This cap applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).
In no event shall FuseIQ be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or business interruption, even if advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
7.1 User Indemnity. You agree to indemnify, defend, and hold harmless FuseIQ, Abbasi Global Ltd, and their affiliates, officers, directors, and employees from any claims, losses, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your infringement of any third-party intellectual property rights; (c) any data or content you submit, process, or generate through the Platform; or (d) your violation of applicable law.
7.2 FuseIQ Indemnity. FuseIQ will defend and indemnify you from any third-party claim that the Platform (excluding third-party AI models, open-source components, and user-provided content) infringes a valid intellectual property right. This indemnity does not apply if the claim arises from your modification of the Platform, combination with non-FuseIQ products, or unauthorized use.
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY. FuseIQ does not warrant that the Platform will be uninterrupted, error-free, secure, or that AI outputs will be accurate or reliable. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.
Users retain all intellectual property rights to their agents, workflows, prompts, configurations, and data created or uploaded to the Platform. FuseIQ claims no ownership over user-generated AI agents or the outputs they produce. Nothing in these Terms transfers ownership of any user intellectual property to FuseIQ or Abbasi Global Ltd. All rights not expressly granted are reserved by FuseIQ.
10.1 AI Output Disclaimer. FuseIQ uses AI models that may produce inaccurate, incomplete, or misleading information. AI-generated outputs should not be relied upon as fact without independent verification. FuseIQ makes no guarantees regarding the accuracy, reliability, or suitability of AI-generated content. Users are responsible for verifying critical outputs before using them in any decision-making process or publishing them externally.
10.2 Risk Classification.FuseIQ’s platform has been classified as Minimal Risk under the EU AI Act (Regulation 2024/1689). Our risk assessment is available upon request.
10.3 Transparency. FuseIQ AI agents are designed to clearly identify themselves as AI when interacting with end users, in compliance with Article 50 of the EU AI Act. Users deploying FuseIQ agents for customer-facing use cases must maintain such disclosure.
10.4 Training Data. FuseIQ does not use user prompts, agent configurations, or outputs for the purpose of training or fine-tuning AI models unless explicitly authorized in writing.
10.5 AI Literacy. FuseIQ provides documentation, best practices, and guidance to promote AI literacy among its users, consistent with Article 4 of the EU AI Act.
11.1 Termination by User. You may terminate your account at any time through the Platform dashboard or by contacting support.
11.2 Termination by FuseIQ. FuseIQ may suspend or terminate your access to the Platform immediately if: (a) you materially breach these Terms; (b) your payment is 30+ days overdue; (c) your use poses a security risk to the Platform or other users; or (d) required by applicable law. We will provide notice where reasonably practicable.
11.3 Effect of Termination. Upon termination, your right to access the Platform ceases immediately. Your data will be retained for 30 days to allow export, then securely deleted in accordance with our Privacy Policy. Prepaid fees are non-refundable except as required by law.
11.4 Survival. Clauses relating to Intellectual Property, Indemnification, Limitation of Liability, Warranty Disclaimer, and Governing Law survive termination of these Terms.
To the extent FuseIQ processes any personal data on behalf of a User as a data processor, the parties agree to be bound by the Data Processing Agreement (DPA), which is incorporated into these Terms by reference. Where transfers of personal data from the UK or EEA to third countries occur, the UK International Data Transfer Addendum to the EU Standard Contractual Clauses (as applicable) shall apply. These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising under these Terms.
We may modify these Terms at any time. Material changes will be notified via email or Platform notification at least 30 days in advance. Continued use of the Platform after the effective date of any modifications constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and terminate your account.
FuseIQ is not intended for use by individuals under the age of 16. We do not knowingly collect personal data from children. In the UK and EU, the minimum age for digital consent varies between 13 and 16 depending on the member state. If we become aware that a child under 16 has provided personal data, we will delete it promptly.
16.1 Informal Resolution. Before filing any claim, the parties agree to attempt to resolve the dispute informally by contacting the other party and negotiating in good faith for at least 30 days.
16.2 Mediation. If the dispute cannot be resolved informally, the parties agree to refer the dispute to mediation at the Centre for Effective Dispute Resolution (CEDR) in London before resorting to litigation. Each party bears its own costs of mediation.
17.1 Entire Agreement. These Terms, together with the DPA and Privacy Policy, constitute the entire agreement between you and FuseIQ regarding the Platform and supersede all prior agreements and understandings.
17.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17.3 Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of the right to enforce that provision later.
17.4 Assignment.You may not assign or transfer these Terms without FuseIQ’s prior written consent. FuseIQ may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
